These Terms of Service govern your use of the NEIIA Risk & ESG Intelligence Platform and related services. By accessing or using the Platform, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing, browsing, or using the NEIIA Risk & ESG Intelligence Platform ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Platform Description
The NEIIA Risk & ESG Intelligence Platform provides environmental, social, and governance analytics, predictive risk modeling, regulatory mapping, carbon tracking, and compliance automation services for Nigeria's energy sector. The Platform includes but is not limited to:
- Predictive risk modeling and scenario analysis
- ESG scoring and benchmarking
- Regulatory compliance mapping and tracking
- Carbon emissions monitoring and reporting
- Data visualization and analytics dashboards
- API access for data integration
3. Account Registration
To access the Platform, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying NEIIA immediately of any unauthorized use of your account
- Ensuring your contact information remains current and accurate
4. Subscription and Payments
4.1 Subscription Plans
Access to the Platform is provided on a subscription basis. Available plans, features, and pricing are described on the Platform. NEIIA reserves the right to modify pricing with 30 days' advance notice.
4.2 Billing
Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.
4.3 Free Trial
NEIIA may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.
5. Permitted Use
You agree to use the Platform solely for lawful, professional purposes in connection with energy investment analysis, ESG assessment, and related activities. You shall not:
- Reverse engineer, decompile, or disassemble any part of the Platform
- Attempt to gain unauthorized access to Platform systems or data
- Use automated tools to scrape, crawl, or extract data from the Platform
- Share your account credentials with third parties
- Use the Platform to engage in any illegal or fraudulent activity
- Redistribute, resell, or sublicense Platform data without written consent
6. Intellectual Property
All content, data models, algorithms, reports, visualizations, and other materials available on the Platform are the intellectual property of NEIIA or its licensors. No transfer of ownership is implied by your use of the Platform. You retain ownership of any data you upload to the Platform.
7. Data and Privacy
Your use of the Platform is governed by our Privacy Policy, which describes how we collect, use, and protect your personal and organizational data. By using the Platform, you consent to the data practices described in the Privacy Policy.
8. Disclaimers
The Platform is provided "as is" and "as available." NEIIA does not warrant that:
- The Platform will be uninterrupted, timely, secure, or error-free
- The data, analytics, or predictions provided will be accurate or complete
- Any specific investment outcomes will result from use of the Platform
The Platform does not constitute financial, investment, or legal advice. Users should exercise independent judgment and consult qualified professionals before making investment decisions.
9. Limitation of Liability
To the maximum extent permitted by applicable law, NEIIA and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to lost profits, data loss, business interruption, or investment losses.
10. Termination
Either party may terminate this agreement at any time. NEIIA may suspend or terminate your access if you violate these Terms. Upon termination, your right to access the Platform ceases immediately. NEIIA will retain your data for 30 days following termination, after which it may be permanently deleted.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be resolved in the courts of Lagos, Nigeria.
12. Changes to Terms
NEIIA reserves the right to update these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
